Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TradeOps platform. By accessing or using TradeOps, you agree to be bound by these Terms. These Terms are governed by the laws of Jamaica, including the Data Protection Act, 2020.

Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account and password. TradeOps cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

Acceptable Use

You agree not to use TradeOps to:

• Violate any applicable laws or regulations, including the Jamaica Data Protection Act, 2020
• Infringe upon the rights of others
• Transmit any malicious code or interfere with the platform
• Attempt to gain unauthorized access to any part of the service
• Use the platform for any fraudulent or deceptive purpose
• Collect or process personal data of others through the platform in violation of the DPA

Data Processing

TradeOps processes personal data in accordance with the Jamaica Data Protection Act, 2020. By using the platform, you acknowledge that:

• Personal data you submit (including audit data, GPS coordinates, photos, and team information) is processed as described in our Privacy Policy
• Our Privacy Policy forms part of these Terms and governs all data processing activities
• Where you submit personal data of third parties (such as customer or store contact information), you confirm you have the lawful authority to share that data with us
• You are responsible for ensuring that any data you upload complies with applicable data protection laws
• We act as data controller for account and platform usage data, and as data processor for organizational data submitted by your employer or organization

Intellectual Property

TradeOps and its original content, features, and functionality are owned by TradeOps and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Data

You retain all rights to data you submit to TradeOps. By using the platform, you grant TradeOps a license to use, store, and process your data solely for the purpose of providing and improving our services, in accordance with our Privacy Policy and the Jamaica Data Protection Act, 2020. We will not share your data with third parties except as described in our Privacy Policy.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service at any time with reasonable notice. Scheduled maintenance windows will be communicated in advance when possible.

Payment Terms

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

Termination

Either party may terminate these Terms at any time. Upon termination, your right to use TradeOps will immediately cease. We will make your data available for export for a reasonable period following termination, in accordance with your data portability rights under the DPA.

Limitation of Liability

To the maximum extent permitted by Jamaican law, TradeOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Nothing in these Terms limits our liability for breaches of our obligations under the Data Protection Act, 2020.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Jamaica. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Jamaica. The Jamaica Data Protection Act, 2020 applies to all processing of personal data under these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of TradeOps after changes constitutes acceptance of the new Terms.
